1. Agreement to These Terms

These Terms of Service govern your access to and use of websites, software, applications, educational materials, question banks, study tools, digital publications, and other services provided by ClinExec LLC ("ClinExec," "we," "us," or "our").

By creating an account, purchasing a product, or using a ClinExec service, you agree to these Terms.

If you do not agree, do not use the service.

2. ClinExec Services

ClinExec develops healthcare education and professional software products. Services may include:

• licensing-exam preparation
• practice questions and examinations
• flashcards
• study plans
• performance dashboards
• educational explanations and reference materials
• digital books and study guides
• healthcare workflow and professional software
• other educational and professional tools

3. Educational Use Only

ClinExec educational products are designed to assist users with learning, review, and exam preparation.

Performance within ClinExec should not be interpreted as a prediction or guarantee of performance on an official examination.

Users remain responsible for determining the official eligibility, application, testing, and licensure requirements applicable to them.

• ClinExec does not guarantee passage of any licensing or certification examination.
• ClinExec does not guarantee a particular examination score.
• ClinExec does not guarantee professional licensure, certification, employment, regulatory approval, or competency to independently provide professional services.

4. Independent Educational Provider

ClinExec LLC is an independent educational and technology company.

Unless expressly stated otherwise, ClinExec is not affiliated with, sponsored by, approved by, or endorsed by NAB, the State of Missouri or any Missouri licensing agency, CMS, any state board of nursing, NCSBN, Pearson VUE, or any other licensing, certification, regulatory, or examination organization.

Names of examinations, agencies, organizations, statutes, regulations, and professional credentials may be referenced solely to identify the subject matter for which ClinExec provides independent educational resources.

5. Original ClinExec Content

ClinExec practice questions, explanations, study materials, flashcards, educational organization, software, graphics, workflows, and other original materials are proprietary content owned or licensed by ClinExec LLC.

ClinExec does not claim ownership of government statutes or regulations, official government publications, third-party trademarks, independently owned standards or publications, or third-party examination content.

ClinExec questions are independently created for educational purposes and are not represented as actual examination questions.

6. No Sharing or Reproduction

Your purchase provides a limited, personal, nonexclusive, nontransferable right to use the purchased ClinExec product.

Reasonable personal study notes are permitted.

ClinExec may restrict or terminate accounts involved in unauthorized sharing or reproduction.

• Do not copy or redistribute question banks.
• Do not publish questions or answers online.
• Do not share account credentials or resell access.
• Do not screen-record substantial portions of the platform.
• Do not scrape, systematically extract, or use automated systems to harvest ClinExec content.
• Do not reproduce ClinExec materials for another commercial product or train another commercial question bank, AI system, or educational platform without written permission.

7. Accounts

Accounts are intended for individual use unless ClinExec expressly provides a group, school, employer, or organizational license.

• Provide accurate account information.
• Protect your login credentials.
• You are responsible for activity performed through your account.
• Notify ClinExec if you believe your account has been compromised.

8. Purchases and Access

Pricing, access periods, included features, and limitations will be shown before purchase.

Unless otherwise stated on the applicable product page, purchases provide access only for the period or product identified at checkout.

Purchase of one ClinExec product does not automatically provide access to other ClinExec products.

ClinExec may later offer memberships, subscriptions, bundles, institutional licenses, or other purchasing arrangements. Any additional terms will be disclosed before purchase.

9. Refunds

Refunds are governed by the ClinExec Refund Policy displayed on our website and incorporated into these Terms.

ClinExec may deny a refund where there is evidence of substantial use, account sharing, copying or extraction of content, abuse of the refund process, or violation of these Terms.

Nothing in this policy eliminates rights that cannot legally be waived.

10. Accuracy and Updates

ClinExec attempts to maintain accurate, current, and well-supported educational content.

Healthcare regulations, licensing requirements, testing blueprints, clinical standards, government guidance, and professional practices may change.

ClinExec may revise questions, explanations, references, or other materials when appropriate.

Users should verify time-sensitive licensing or regulatory requirements through the applicable official authority.

11. Professional and Clinical Disclaimer

ClinExec does not provide medical, legal, accounting, or individualized professional advice.

Clinical, regulatory, reimbursement, coding, MDS, administrative, or other professional tools provided by ClinExec are intended to support professional judgment, not replace it.

Users are responsible for confirming information against applicable law, regulation, payer guidance, organizational policies, professional standards, and patient-specific circumstances.

12. Healthcare Data

Unless a particular ClinExec product expressly states otherwise and appropriate agreements and safeguards have been established, users must not upload protected health information, identifiable patient information, or other regulated healthcare information into ClinExec services.

A product should not be assumed to be HIPAA compliant merely because it is intended for healthcare professionals.

13. Service Availability

We work to maintain reliable access but cannot guarantee uninterrupted or error-free operation.

Services may occasionally be unavailable because of maintenance, software updates, third-party outages, internet or hosting failures, security incidents, or circumstances beyond our reasonable control.

Where practical, ClinExec will work to restore access promptly.

14. Third-Party Services

ClinExec may use or integrate third-party services such as hosting providers, payment processors, authentication providers, email services, analytics providers, and cloud infrastructure.

Those services may be subject to their own terms and privacy policies.

15. Suspension and Termination

ClinExec may suspend or terminate access for violation of these Terms, fraudulent activity, unauthorized copying or redistribution, account sharing, security threats, abuse of ClinExec systems, or unlawful activity.

Where appropriate, ClinExec may provide notice and an opportunity to correct the issue.

16. Disclaimer of Warranties

To the fullest extent permitted by law, ClinExec services are provided on an "as available" and "as is" basis.

ClinExec does not warrant that a service will meet every user's individual requirements, operate without interruption, be completely error-free, guarantee exam success, or guarantee a particular professional outcome.

This provision does not limit warranties or consumer rights that cannot legally be excluded.

17. Limitation of Liability

To the fullest extent permitted by applicable law, ClinExec LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the service.

Where liability cannot otherwise be excluded, ClinExec's aggregate liability arising from a purchased service will not exceed the amount paid by the user to ClinExec for that service during the twelve months preceding the event giving rise to the claim, except where applicable law requires otherwise.

18. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles, except where applicable law provides otherwise.

19. Changes to These Terms

ClinExec may update these Terms when its products, business practices, or legal obligations change.

The current version and effective date will be posted on the ClinExec website.

Material changes will be communicated when reasonably appropriate.
